Purpose
Revise RVA Terms of Reference to recognize and appropriately support any County residents who assume a Member at Large position on the Board of Directors.
 
Summary
The RVA underwent a change in their governance structure a few years ago that has essentially resulted in the establishment of a RVA Board of Directors, RVA Advisory Committee and an RVA Administrators Committee.  Previous to the change Parkland County, as a shareholder, appointed three members to the Board including one Council appointee and two public members.    An Administrative representative from the County attended Board meetings in an ex-officio capacity.
 
In the new governance structure the Board is made up of Council member appointees from each of the shareholding municipalities which make up 8 positions on the Board and an additional 7 Directors at large positions are which open and available to residents living within any of the shareholding municipalities.  A shareholding municipality in the RVA can have up to a maximum of 3 Directors at Large on the Board.  The two public member appointees from Parkland County now sit on the RVA Advisory Committee; and the Administrative representative sits on the Administrators Committee.    Council appoints the Council Board member and two Advisory Committee members.   The Directors at Large positions are elected at the RVA Annual General Meeting by the members, they are not appointed by Council.
 
A Parkland County resident put their name forth for one of the seven Director at Large positions on the RVA Board.    Arlaine Monaghan, the Parkland County resident, was elected to the RVA Board at the April 2012 AGM for a two year term.   Again, this is not an appointed position by Parkland County; she was simply a resident interested and encouraged to let her name stand and  will represent County interests on the RVA Board.
 
Since this is not an appointed position as per our identified Council Committees, nor does the County have the ability to appoint a Director at Large to the Board and the County is not always guaranteed to have a general resident sitting on the RVA Board as a Director she is not currently eligible for reimbursement as other public member appointees are as per Council policy.   
 
Administration is proposing a revision to the RVA Terms of Reference to capture the Directors at Large position as a membership category (Revised Terms of Reference attached).  If a County resident comes forth and is successful in being elected to the RVA Board as a Director at Large Council will be asked to formally approve reimbursement for that members involvement as per Council Policy C-AD26.   If approved reimbursement for Ms. Monaghan will be found in the 2012 Parks, Recreation and Culture Budget.  Expenses in 2013 have been budgeted for in the recently approved 2013 Annual Operating Budget.
