Purpose:
The owners of the TLC have agreed to conduct a Governance Review to evaluate the decision making processes for the TLC.  The terms of Reference will provide the basis for the Board of Directors of the TLC to prepare a Request for Proposals (RFP) for an independent consultant to review the governance model of the TLC.
Summary:
The intent of the Terms of Reference is to provide the direction to prospective proponents in the scope of the work to be provided.  The terms of reference have been discussed by the CAO's of the respective municipalities.  The agreement by all three CAO's was to limit the scope of work to evaluating the decision making process for the Board of Directors and Councils.  The Terms of reference have deliberately not included any reference to the operations of the TLC.  It is not the intent of this review to duplicate the work that was completed during the operational review from 5 years ago.
